Terms of Service

1. The Platform & Roles

• Facilitation Only: ParkX acts solely as a technology platform to facilitate connections between individuals or businesses offering parking spaces ("Hosts") and those seeking to rent them ("Renters").
• No Ownership: ParkX does not own, operate, or manage the parking spaces listed on the Platform.
• Corporate Structure: ParkX is a business in formation to be incorporated under the Canada Business Corporations Act (CBCA).

2. User Eligibility & Accounts

• Eligibility: You must be at least 18 years old and capable of entering into legally binding agreements.
• Accuracy: You must provide accurate and complete information during registration and keep your account credentials confidential.
• Termination: ParkX reserves the right to suspend or terminate accounts for fraudulent activity, misuse of the Platform, or violation of these Terms.

3. Bookings and Payments

• Process: Renters book spaces through the Platform; a booking is confirmed once a confirmation is issued via the app.
• Payments: All payments are processed securely through third-party providers. Renters agree to pay all fees displayed at the time of booking.
• Service Fees: ParkX may charge service fees to both Hosts and Renters to support platform operations and growth.
• Cancellations: Cancellation and refund policies are generally determined by the Host unless otherwise specified by ParkX. Service fees may be non-refundable.

4. User Responsibilities

• Hosts: Must ensure listings are accurate regarding availability, pricing, and descriptions. Hosts are responsible for complying with local zoning and licensing laws.
• Renters: Must use parking spaces only for their intended purpose and are responsible for any damage caused to the space during their use.

5. Intellectual Property (IP)

• Ownership: All content on the Platform, including source code, designs, algorithms, and business methods, is the irrevocable property of the Company.
• Restrictions: Users may not reproduce, modify, or distribute any Platform content without prior written permission. Founders have waived moral rights to the maximum extent permitted by law.

6. Limitation of Liability & Indemnification

• "As Is" Service: ParkX provides the Platform "as is" and makes no warranties regarding the condition of parking spaces or the conduct of users.
• Liability Cap: To the fullest extent permitted by law, ParkX is not liable for property damage, personal injury, or loss of income arising from the use of the Platform.
• Indemnification: You agree to indemnify ParkX and its Founders from any claims or expenses arising from your use of the Platform or violation of these Terms.

7. Dispute Resolution

In accordance with the governing framework of the Company, all disputes shall be resolved as follows:

• Negotiation: Parties shall first attempt a good-faith internal resolution.
• Mediation: If unresolved, disputes proceed to mediation in Ontario.
• Arbitration: If mediation fails, disputes will be resolved through binding arbitration under the Arbitration Act, 1991 (Ontario) by a single arbitrator.

8. Amendments & Governing Law

• Changes: ParkX may update these Terms at any time. Your continued use after changes are posted constitutes acceptance.
• Jurisdiction: These Terms are governed by the laws of Canada and the Province of Ontario.
